M-Files Code of Conduct

INTRODUCTION

At M-Files Group we always work according to our Guiding Principles: Make It Happen, Help Others and Love Customers. While conducting our business and following these principles, we maintain high standards related to human and labor rights, safety at work, information protection, environmental issues, and business ethics. We are committed to using sustainable, ethical, and responsible methods in our operations and aim to keep improving our procedures continuously.

This Code of Conduct lists the principles we follow in accordance with legislative tools such as the Universal Declaration of Human Rights and the Ten Principles of the UN Global Compact.

The Code of Conduct applies to all M-Files' group companies, their directors, officers, managers, representatives, contractors, and employees, and covers all subsidiaries, branches, and other entities where M-Files exercises management control.

HUMAN RIGHTS

In relation to fundamental human rights, we:

  • respect and protect internationally recognized human rights and are not complicit in human rights abuses.
  • believe in eliminating discrimination and promoting diversity, equity, and inclusion.
  • work to prevent harassment and/or bullying and ensure that any occurred harassment is appropriately addressed and eliminated.

LABOR RIGHTS

In relation to labor rights, we:

  • adhere to applicable laws and local contracts concerning minimum wages, working hours, overtime, adequate rest, sick leave and annual holidays, parental leave, and other mandatory employee benefits.
  • do not allow compulsory or forced labor, human trafficking, or child labor.
  • respect our employees' freedom of association and collective bargaining.

SAFETY AT WORK

In relation to safety at work, we:

  • are committed to the wellbeing of our own employees as well as any non-employees working at our premises.
  • promote a positive safety culture at work and on business travels.
  • have a systematic approach to safety at work management to prevent accidents and occupational injuries and illnesses.
  • do not tolerate harassment of any kind and our employees are responsible for creating and maintaining working environments that are free from harassment or other inappropriate behavior.

BUSINESS ETHICS

In relation to responsible and ethical business conduct, we:

  • avoid conflicts of interest.
  • believe in honesty, integrity, and transparency.
  • have our operations monitored and audited by external accountants.
  • are committed to the highest standards of corporate governance, compliance, and ethics.
  • have zero tolerance for corruption and bribery and have transparent practices in place regarding gifts and hospitality.
  • comply with all applicable laws and regulations regarding fair competition.
  • have in place a secure whistleblowing channel for everyone to report misconduct.
  • comply with applicable economic and trade sanctions (see also our Sanctions Statement).
  • fulfil our tax obligations in accordance with applicable tax legislation and provide the correct information to the responsible tax authorities.

INFORMATION PROTECTION

In relation to protecting information, we:

  • respect, protect and properly handle all information including confidential and proprietary information of our customers and business partners.
  • respect and, to a reasonable extent, protect the intellectual property of our customers and business partners.
  • strive to protect the personal data of our employees, customers, and business partners and report any data breaches according to applicable laws.

ENVIRONMENT

In relation to the environment, we:

  • recognize our impact on the environment and strive to limit any negative effects.
  • work to combat climate change through use and innovation of sustainable technologies.
  • strive to reduce our emissions continuously.
  • calculate our carbon footprint annually (according to the GHG Protocol).

ENFORCEMENT

Any violation of this Code of Conduct is likely to damage M-Files' brand and reputation and therefore the Code of Conduct must be rigorously enforced.

We endeavor to promote these principles in all our business operations, and therefore, strongly encourage our existing as well as prospective customers to adopt similar or equivalent principles in their own operations. We expect our partners, suppliers, subcontractors, and other stakeholders to commit to these or equivalent principles.
